These Terms of Service (“Terms”) govern your use of the OrganicOrbits LLP website and digital marketing services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. About OrganicOrbits LLP
OrganicOrbits LLP is a digital marketing agency providing SEO, paid advertising, social media marketing, content marketing, web development, and branding services to businesses across India and globally.
2. Services
Our services include but are not limited to:
- Search Engine Optimization (SEO) — Local SEO, Technical SEO, Content SEO
- Paid Advertising — Google Ads (PPC), Meta Ads (Facebook & Instagram)
- Social Media Marketing & Management
- Content Marketing & Strategy
- Website Design & Development
- Branding & Identity Design
Specific deliverables, timelines, and fees are defined in individual Service Agreements or Proposals signed by both parties.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required to deliver services
- Grant necessary access to platforms (website, ad accounts, social profiles) as needed
- Review and approve deliverables within agreed timelines
- Make timely payments as per agreed schedules
- Comply with all applicable laws in your use of our services
4. Payment Terms
- Retainer Services: Monthly retainer fees are due on the 1st of each month.
- Project-Based Work: 50% advance payment before project commencement; balance upon delivery.
- Ad Budgets: Ad spend is separate from our management fees and must be funded directly by the client.
- Late Payments: Services may be paused if payment is delayed beyond 7 days of the due date.
- Refunds: Retainer fees paid are non-refundable once work has commenced for that period.
5. Intellectual Property
- Client Content: You retain ownership of all content, logos, and materials you provide to us.
- Deliverables: Upon full payment, ownership of custom deliverables (designs, content, code) transfers to you.
- Our Tools & Processes: OrganicOrbits retains ownership of its proprietary methodologies, templates, and tools.
- Portfolio Rights: We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the service agreement.
7. Results & Guarantees
Digital marketing results depend on many factors including market conditions, competition, and search engine algorithm changes. While we work diligently to achieve your goals, we do not guarantee specific rankings, traffic numbers, or revenue outcomes. Any projections provided are estimates based on industry benchmarks and past performance.
8. Termination
- By Client: You may terminate services with 30 days written notice.
- By OrganicOrbits: We reserve the right to terminate services immediately for non-payment, breach of terms, or illegal activity.
- Upon Termination: All outstanding payments become immediately due. We will transfer all client-owned assets within 14 days.
9. Limitation of Liability
OrganicOrbits LLP shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability to you shall not exceed the total fees paid to us in the 3 months preceding the claim.
10. Indemnification
You agree to indemnify and hold OrganicOrbits harmless from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms or your use of our services.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
